1. Agreement between You and Mastr Pty Ltd
This website and the associated Mastr services are operated by Mastr Pty Ltd (Mastr, we, us, our).
These Terms and Conditions (Terms) govern your access to and use of the Mastr website, platforms, programs, memberships, advisory services, events, resources and other products or services made available by Mastr (Services).
In these Terms, You, Your, Customer, Member or Client means the individual or entity accessing the website or purchasing, participating in or receiving Services from Mastr.
Mastr provides a business advisory and growth ecosystem designed to support business owners, founders, executives and leadership teams through peer advisory, strategy, specialist expertise, education, events, tools and other business services.
By accessing our website, creating an account, purchasing a Service, joining a Mastr program or membership, attending a Mastr event, or otherwise using our Services, you agree to be bound by these Terms.
We may amend these Terms from time to time by publishing an updated version on our website. Where a change materially affects an existing paid membership or Service, we will provide reasonable notice where required by law.
2. Mastr Services
Mastr may provide Services including, but not limited to:
- •business advisory and strategic planning;
- •peer-to-peer advisory groups and boards;
- •facilitated business owner and executive forums;
- •coaching and mentoring;
- •workshops, masterclasses and educational programs;
- •conferences, retreats, networking events and experiences;
- •business assessments and diagnostic tools;
- •access to specialist advisers, consultants and service providers;
- •leadership and organisational development;
- •finance, talent, technology, brand, operations, governance and growth support;
- •digital resources, templates, tools and intellectual property;
- •membership communities and member benefits; and
- •other business-related products and services offered by Mastr from time to time.
Different Mastr Services may be subject to additional service-specific terms, membership agreements, proposals, statements of work or engagement letters (Service Terms).
Where Service Terms apply, those Service Terms form part of your agreement with Mastr. If there is an inconsistency between these Terms and specific Service Terms, the Service Terms will prevail to the extent of that inconsistency.
3. Eligibility and Authority
By using our website or Services, you warrant that:
- •You are legally capable of entering into a binding agreement.
- •If you are acting on behalf of a company, trust, partnership or other entity, you have authority to bind that entity.
- •All information supplied by you is true, accurate, current and complete.
- •You will use the website and Services only for lawful business purposes.
- •You will comply with all applicable laws, regulations, codes and professional obligations.
- •You will not use Mastr's Services in a manner that may cause damage to Mastr, another Member, a service provider or any third party.
Mastr reserves the right to refuse, suspend or terminate access to any Service or membership where reasonably necessary, including where these Terms or applicable Service Terms have been breached.
4. Memberships and Programs
Certain Mastr Services may be provided through membership programs, including peer advisory groups, boards, specialist programs, workshops or other Mastr communities.
Membership may be subject to eligibility criteria and approval by Mastr.
Members are expected to:
- •actively participate in agreed sessions and programs;
- •treat other Members, Chairs, facilitators, advisers and Mastr personnel professionally and respectfully;
- •maintain confidentiality;
- •respect the experience, opinions and contributions of other Members;
- •arrive prepared and on time for scheduled sessions;
- •avoid conduct that disrupts or undermines the group;
- •comply with any Member Charter or Rules of Engagement issued by Mastr; and
- •act honestly and in good faith.
Mastr may suspend or terminate membership for serious or repeated breaches of these obligations, subject to any applicable Service Terms and Australian Consumer Law.
5. Peer Advisory and Business Advice
Mastr provides an environment in which business owners and leaders can share experiences, perspectives, knowledge and ideas.
Unless expressly stated otherwise, information provided through Mastr is general business information and guidance and does not constitute legal, taxation, accounting, financial product, investment, medical or other regulated professional advice.
You remain responsible for your own business decisions.
You should obtain appropriate independent professional advice before making decisions where specialist advice is required.
Mastr does not guarantee that any particular strategy, recommendation, program, introduction or Service will result in increased revenue, profitability, business growth, investment returns, capital raising, business sale, improved valuation or any other specific commercial outcome.
Business performance depends on many factors outside Mastr's control.
6. Independent Specialists and Third-Party Providers
Mastr may introduce Members or Clients to independent specialists, advisers, consultants, suppliers or other service providers.
Unless expressly stated otherwise in writing, those providers are independent third parties and are not employees, partners, agents or representatives of Mastr.
Any engagement between you and an independent provider may be subject to a separate agreement between you and that provider.
Mastr does not guarantee the performance or outcome of services provided independently by third parties.
Nothing in this clause excludes any liability that cannot lawfully be excluded.
7. Fees and Payment
Fees for Mastr memberships, programs, events and Services will be communicated to you before purchase or engagement.
Unless otherwise stated:
- •Fees are payable in Australian dollars.
- •GST will be applied where required by law.
- •Payment must be made in accordance with the payment terms stated on your invoice, membership agreement, proposal or Service Terms.
- •You authorise Mastr and its authorised payment providers to process payments using your nominated payment method.
- •Applicable payment processing or merchant fees may be charged where disclosed before payment.
Where a membership or Service is recurring, you authorise Mastr to charge the agreed recurring fees in accordance with the payment schedule disclosed when you subscribe or enter into the applicable agreement.
8. Cancellations, Changes and Refunds
Cancellation, suspension and refund rights may vary depending on the Service purchased and will be set out in the relevant Service Terms.
Unless otherwise stated, payments already made are not refundable merely because you change your mind.
Mastr may reschedule workshops, meetings, events, speakers, facilitators or other elements of a Service where reasonably necessary.
Where Mastr cancels a paid Service and does not provide a reasonable alternative, you may be entitled to a refund or credit for the affected Service.
Nothing in these Terms excludes or limits any refund, cancellation or other remedy you are entitled to under Australian Consumer Law.
9. Events and Experiences
Mastr may conduct conferences, retreats, workshops, networking events, educational programs and other experiences.
Event-specific terms may apply.
You are responsible for ensuring that you are able to safely participate in an event or activity and for making appropriate travel, accommodation, insurance and other arrangements unless expressly included in the Service.
Mastr may change speakers, facilitators, venues, schedules or program content where reasonably necessary.
Where third-party venues, accommodation providers, transport providers or activity operators are involved, their own terms and conditions may also apply.
10. Website Account and Security
Where you create an account with Mastr, you must:
- •Provide accurate and current information.
- •Keep your login credentials confidential.
- •Not provide your password or account access to an unauthorised person.
- •Notify Mastr promptly if you believe your account has been compromised.
- •Not create a false identity or misrepresent your relationship with another person or organisation.
- •Not attempt to gain unauthorised access to any Mastr systems, accounts or information.
You are responsible for activity undertaken through your account where that activity results from your failure to take reasonable steps to protect your account credentials.
11. Confidentiality
Confidentiality is fundamental to the Mastr community and peer advisory model.
You agree to keep confidential all non-public information disclosed to you by Mastr, another Member or Client in connection with the Services.
This may include:
- •financial information;
- •business strategies;
- •customer information;
- •intellectual property;
- •employee information;
- •commercial arrangements;
- •personal information;
- •business challenges and opportunities;
- •proposed transactions;
- •acquisition or exit plans; and
- •other information that a reasonable person would understand to be confidential.
You must not disclose or use another Member's confidential information for any purpose other than participating in the relevant Mastr Service without that person's prior consent.
These confidentiality obligations continue after your membership or participation in Mastr ends.
Confidentiality obligations do not apply to information that is publicly available other than through a breach of these Terms, was lawfully known to you before disclosure, is independently developed without use of confidential information, or must be disclosed by law.
12. Intellectual Property
Mastr owns or has the right to use the intellectual property associated with its website, brand, programs and Services (Mastr IP).
Mastr IP may include:
- •trademarks and branding;
- •business frameworks and methodologies;
- •training programs;
- •presentations;
- •worksheets;
- •templates;
- •diagnostic tools;
- •videos and recordings;
- •written materials;
- •software and digital tools;
- •processes and systems;
- •research and educational content; and
- •other proprietary materials.
Unless expressly authorised in writing, your purchase of or participation in a Mastr Service does not transfer ownership of Mastr IP to you.
Mastr grants you a limited, non-exclusive, non-transferable licence to use materials supplied to you for your own internal business purposes.
You must not, without prior written permission:
- •reproduce or commercially distribute Mastr materials;
- •sell or sublicense Mastr IP;
- •publish Mastr materials publicly;
- •copy or substantially reproduce Mastr programs or methodologies;
- •use Mastr materials to provide competing training, advisory or consulting services; or
- •remove Mastr branding, copyright notices or proprietary notices.
13. Member Contributions
You retain ownership of intellectual property you bring into a Mastr program.
Participation in discussions does not transfer ownership of your existing intellectual property to Mastr or another Member.
You acknowledge, however, that peer advisory discussions naturally involve the exchange of general ideas, experiences and concepts. Unless specifically agreed in writing, participation in a discussion does not give a Member ownership of general business concepts, ideas or knowledge independently used or developed by another Member.
14. Website Use
You must not:
- •interfere with the proper operation of the website or Services;
- •attempt to gain unauthorised access to Mastr systems;
- •introduce viruses, malicious code or harmful technology;
- •scrape or systematically extract website content without permission;
- •reproduce Mastr content without authorisation;
- •use the website for fraudulent or unlawful purposes;
- •impersonate another person;
- •infringe another person's intellectual property rights;
- •harass, defame or threaten another person; or
- •use Mastr systems to distribute unsolicited or unlawful communications.
Mastr may suspend access where it reasonably believes these requirements have been breached.
15. Privacy
Mastr and you agree to comply with applicable privacy laws, including the Privacy Act 1988 (Cth) and the Australian Privacy Principles where applicable.
Mastr may collect, use, hold and disclose personal information in accordance with its Privacy Policy.
By using Mastr's Services, you acknowledge that information may be processed by third-party technology, payment, communications and service providers where reasonably necessary to deliver the Services.
16. No Guarantee of Business Outcomes
Mastr is designed to help Members and Clients make better-informed business decisions, improve capability and gain access to knowledge, perspectives, networks and specialist support.
However, Mastr cannot guarantee business outcomes.
You acknowledge that entrepreneurship, investment and business ownership involve risk and that decisions concerning your business remain your responsibility.
Past performance, examples, case studies and experiences of Mastr, its founders, advisers, Members or Clients do not guarantee future results.
17. Limitation of Liability
To the maximum extent permitted by law, and without excluding any rights or guarantees that cannot lawfully be excluded under Australian Consumer Law:
- •Mastr does not guarantee that the website or Services will be uninterrupted, error-free or continuously available.
- •Mastr does not guarantee the accuracy or completeness of information supplied by third parties.
- •Mastr is not responsible for decisions made by you based solely on general information, discussions or materials provided through the Services.
- •Mastr is not responsible for the independent acts or omissions of Members or third-party service providers except to the extent Mastr is legally responsible for those acts or omissions.
- •Mastr is not liable for a failure or delay caused by events reasonably beyond its control.
- •To the extent permitted by law, Mastr will not be liable for indirect or consequential loss, loss of opportunity, loss of anticipated savings, loss of goodwill or loss of profits arising from your use of the Services.
Where Mastr is permitted by law to limit its liability for a failure to comply with a statutory guarantee in relation to Services, Mastr's liability is limited, at its option, to:
- •supplying the Services again; or
- •paying the reasonable cost of having the Services supplied again.
Nothing in these Terms is intended to exclude, restrict or modify any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.
18. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other applicable law where doing so would be unlawful.
If a provision of these Terms is inconsistent with a mandatory statutory right, the statutory right will prevail to the extent of the inconsistency.
19. Indemnity
To the extent permitted by law, you indemnify Mastr and its officers, employees and representatives against loss, liability, damage or reasonable expense arising directly from:
- •your material breach of these Terms;
- •your unlawful or fraudulent use of the Services;
- •your infringement of a third party's intellectual property or other legal rights; or
- •your wilful or negligent acts or omissions in connection with the Services,
except to the extent the loss was caused or contributed to by Mastr or a person for whom Mastr is legally responsible.
This clause survives termination of your relationship with Mastr.
20. Third-Party Websites and Platforms
The Mastr website and Services may contain links to websites, software, platforms or services operated by third parties.
Links are provided for convenience and do not necessarily constitute endorsement by Mastr.
Mastr is not responsible for the content, availability, security or privacy practices of independent third-party websites or platforms.
21. Suspension and Termination
Mastr may suspend or terminate access to a Service or membership where:
- •fees remain unpaid;
- •these Terms or applicable Service Terms are materially breached;
- •confidentiality obligations are breached;
- •conduct materially disrupts a Mastr group or community;
- •conduct presents a material risk to Mastr or other Members;
- •unlawful activity occurs; or
- •continued participation is reasonably considered detrimental to the safe or effective operation of the relevant Mastr Service.
Where appropriate, Mastr will provide reasonable notice and an opportunity to remedy a breach before termination.
Immediate suspension or termination may occur in cases of serious misconduct, unlawful activity, material confidentiality breaches, fraud or conduct presenting a significant risk to another person or Mastr.
Any termination is subject to rights and remedies available under Australian Consumer Law.
22. Electronic Communications
You consent to receiving communications from Mastr electronically in connection with your account, membership and Services.
Marketing communications will be managed in accordance with applicable Australian laws, and you may unsubscribe from marketing communications using the unsubscribe mechanisms provided.
Operational communications relating to an active membership, transaction, event or Service may still be sent where reasonably required.
23. General
These Terms are governed by the laws of Queensland, Australia, and, where applicable, the laws of the Commonwealth of Australia.
The parties submit to the jurisdiction of the courts of Queensland and courts entitled to hear appeals from those courts.
If any provision of these Terms is invalid or unenforceable, that provision will be severed or read down to the minimum extent necessary without affecting the remaining provisions.
A failure by Mastr to exercise a right under these Terms does not constitute a waiver of that right.
A waiver is effective only where expressly provided in writing.
Mastr may assign or transfer its rights and obligations as part of a bona fide corporate restructure, sale of business or transfer of the relevant Services, subject to applicable law.
You may not assign your rights or obligations under these Terms without Mastr's prior written consent, except where otherwise permitted by law.
